Investment Agreement

The Investment Agreement was concluded based on Article 29 of the Minerals Law of Mongolia (hereinafter referred to as the "Minerals Law"), Resolution No. 40 of December 4, 2008, and Resolution No. 57 of July 16, 2009, of the State Great Khural (Parliament) of Mongolia, as well as Resolution No. 308 of October 6, 2009, of the Government of Mongolia.

Shareholders Agreement (Amended and Restated)

As of the date of signing this Agreement, the Shareholders of the Company are IVN, OTN, and the State-Owned Company (SOC). IVN, OTN, SOC, and the Company are Parties to the Shareholders Agreement dated October 6, 2009 (the "Previous Shareholders Agreement"), which regulates the rights and obligations of the Company's Shareholders.

Oyu Tolgoi Underground Mine Development and Financing Plan

The Oyu Tolgoi Underground Mine Development and Financing Plan was signed on May 18, 2015, between the Government of Mongolia, Erdenes Oyu Tolgoi LLC, Turquoise Hill Resources Limited, THR Oyu Tolgoi Ltd, Oyu Tolgoi Netherlands B.V., Rio Tinto International Holdings Limited, and Oyu Tolgoi LLC.
